Client Background

An Iraqi investor and his Chinese partner had set up a company together in China. But when one of the investors left the country, the business gradually ground to a halt. No operations. No transaction records. The company was effectively dormant.

We advised the client to start the deregistration process as soon as possible – before compliance risks and “abnormal operation” flags began to pile up.

What We Found

Deregistration required signatures from both investors. But one of them was overseas. Collecting those signatures was proving difficult – and without them, the entire process was stuck.

Meanwhile, the company’s tax filings had already lapsed. If left unaddressed, the company could be flagged as “abnormal” – creating bigger problems down the road.

Time was tight. The signatures were out of reach. And the tax situation was already a red flag.

What We Did

We broke the problem into two phases:

  • Tax deregistration first – We moved quickly to complete the tax deregistration, immediately blocking the risk of an abnormal operation listing.

  • Business deregistration later – Once the overseas investor returned to China, we collected the missing signatures and continued with the industrial and commercial deregistration.

This phased approach kept the process moving – even while the signatures were still out of reach.

The Result

In just six weeks, we successfully completed the company deregistration – resolving both the cross-border signature challenge and the procedural handover without a hitch.

When one partner is overseas and the tax clock is ticking, you can’t afford to wait. We split the process into manageable steps – securing what we could immediately, and finishing the rest when the signatures arrived. Result: a clean, compliant exit.
